MODULE ADDITIONAL ASSESSMENT DETAILS
The first element of assessment is an academic poster accompanied by a 10 minute oral presentation.
– This will be made on an overarching theme, or a problem scenario given, that covers the principles and concepts discussed in the module. This will assess learning outcomes 2 and 3.
Element 2 of assessment is a written commentary which expands on the theme or scenario of the poster presentation, to focus on a critical approach to the issue. This will assess learning outcomes 1 and 4.
MODULE INDICATIVE CONTENT
The aim of the module is to provide students an understanding of company law within the context of Sri Lanka. Students will explore relevant legal principles under the Companies Act. This module examines a selection of company law topics in comparative context.

The module is designed to provide students studying at APIIT Lanka with an understanding and a grasp of the essentials of substantive Sri Lankan Company Law. It is intended to give students the understanding and skills to deal confidently with aspects of Sri Lankan Company Law. Company Law in other common law jurisdictions will also be considered in view of the historical and modern influences on Sri Lankan Company Law.
This module will be of interest to students who have Company Law career ambitions. The knowledge in Company Law will also support for other graduate careers including Company managerial roles and Company secretarial.
MODULE LEARNING STRATEGIES
The delivery of the module will be via weekly lectures and weekly workshops. Together these will compose 39 hours of direct contact with the tutor. Students will also be expected to engage in 161 hours of directed, guided and self-study. The remaining non- contact hours will be spent in preparation for assessment, including undertaking a formative mock assessment, and responding to feedback on their performance.
Lectures will be designed to provide a focus on exposition of Sri Lankan Company Law. Students will learn various legal provisions that are related to formation of Companies, Separate Legal Personality, lifting the corporate veil and corporate governance within the contexts of Sri Lankan legal framework. This will contain some comparative elements with particular emphasis on common law jurisdictions. Students will have opportunities to engage with lecture content through including questioning, quizzes and opportunities for discussion. The workshops are focused on consolidation of knowledge and understanding of core content, and the application of knowledge to practical problems which legal practitioners are likely to meet. There will be an additional focus on corporate issues that can arise when managing a company. Students will be required to participate in a range of learning opportunities which promote construction of knowledge through problem-based learning. Examples of activities include group discussions, oral and written submissions relating the application of relevant legal provisions. By challenging students to engage in comparative legal analysis on emerging trends, students will be prepared to expand their knowledge of current issues. The assessment strategy will reinforce this by reflecting the multiple possible outcomes when addressing emerging issues in company law.
