Module Additional Assessment Details
Oral assessment: students will be assessed on their individual contributions which will focus on an issue arising from the assignment (Learning Outcomes 1-4)
Assignment: students will submit a 3000 word assignment (Learning Outcomes 1-3)
To pass this module, students must achieve a combined mark of at least 50%
Module Learning Strategies
This module will be strongly student centred. It will be delivered through a series of 5 x 2 hour seminars, supported by student research and personal study (135 hours) and there will be an additional five hours of student
guidance, supervision and support.
Students will follow a set pattern contained in the module
handbook.
A formative assessment will be used to encourage research on the subject area.

The module is designed to provide students with the ability to critically analyse certain essential elements of company law.
Issues covered will include:
Directors - their duties and responsibilities
Division of power between Shareholders and directors
Minority Protection
Raising capital and capital maintenance
Winding up of a company
