INDICATIVE CONTENT
This module aims to cover a range of corporate governance issues and issues and trends associated with risk management that contribute to an organisation’s financial performance.
Therefore, a range of the following topics will be covered:
The relevance and importance of corporate governance;
Corporate governance and firm theory;
Stewardship and agency theory debate;
Board of directors and committee structure and responsibility;
Regulations relevant to company directors and officers;
Regulations and corporate governance and reporting.
The influence of corporate governance codes on board of directors' activities.
External auditors and corporate governance;
investors and shareholders activities;
Ownership and corporate performance;
Decision-making on board reward systems: theoretical arguments and empirical evidence;
Corporate control mechanism.
Corporate governance in the public sector;
Corporate citizenship and responsibility.
The purpose and core elements of the risk management process within an organisational context, including:
-Risk assessment
- Risk analysis and evaluation
- Risk response and Business continuity
- Risk Strategy, control and risk reporting- Managing uncertainty
- identifying risk appetite
Risk Management techniques and evaluation
-Approaches on risk response and business continuity.
-The role of Risk Governance, Leadership and Communication
Current trends in risk management such Enterprise Risk Management, Operational Risk Management will be covered through practice/problem-based case examples that takes account of reaction
It is also designed to cover the following sections of the Apprenticeship Standard for Senior Leader Apprenticeship:
Duties:
Duty 5: Lead and respond to crisis management, assessing the risks and opportunities which could affect business/department performance, and finding solutions that meet the needs of both the organisation and its customers/stakeholders in a responsible and ethical way
Duty 8: Report to the Board (or relevant governance/management structure) on the progress of their operational activities towards achieving business goals.
Duty 12: Ensure that their area of responsibility is compliant with internal governance, such as any assurance framework requirements, and with external governance, such as any regulatory and statutory requirements.

ASSESSMENT DETAILS
Your portfolio of evidence should identify your significant involvement in activities related to risk and crisis management, overseeing and reporting on operational matters to senior decision-makers, including financial and resource impact and demonstrate your involvement in relevant governance activities. (Learning outcomes 1, 2, 3, 4)
Your report should include an analysis of the current challenges related to risk, governance and financial management within your organisations and make recommendations for overcoming these. (Learning outcomes 1, 2, 3, 4)
LEARNING STRATEGIES
Scheduled learning and teaching activities: 104 hours
To consist of:
Face-to-face which will include groupwork, formal teaching, case study analysis, guest speakers and students will be encouraged to share their workplace experiences with others
Online live webinars to take the form of tutorials involving opportunities for group discussion and presentation, flipped-classroom opportunities, further groupwork and case study analysis
Guided independent study: 296 hours
To consist of:
Accessing additional online content such as videos and presentations
Independent reading to consolidate knowledge gained in the formal teaching
Undertaking formative tasks set by the tutor to consolidate learning
Assessment preparation and writing and gathering evidence
Portfolio building
